Attached is a contract template I wrote and used successfully with 3 or
4 clients when I was an independent contractor. 

THIS CONTRACT HAS NEVER BEEN REVIEWED BY A LAWYER...please have it
reviewed before you use it, for your own protection. I wouldn't even
send out this contract again without first changing a couple things: 

1) Consider stipulating a deposit from the client to begin work,
depending on the client and project.

2) Stipulate that ownership of the code does not belong to the client,
even if it resides on their server, until all fees for the work have
been paid...or something to that effect.

Hopefull this helps you get started. Chop it up as much as you like;
while it's a "template", it still has project-specific stuff in it,
which should be cut/replaced, so don't be afraid to re-write it.

You might want to take a look at "The Computer Consultant's Guide" by
Janet Ruhl, especially chapter 8, "Getting To The Contract". I also
highly recommend Alan Weiss' "Million Dollar Consulting"...it's a great
tutorial on how a *professional* consultant does business. If you want
to not only look professional but feel professional, this is a great
book to show you how it's done.
